Terms of Service

1. Agreement

By creating an account and using Smoothfunnels ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

These Terms include our Data Processing Agreement (for the leads you collect with the Service) and refer to our Privacy Policy and Cookie Policy.

2. The Service

Smoothfunnels is an AI-powered platform that helps marketing agencies generate funnel strategies, SEO landing pages, and website analyses using AI models provided by third parties (see our Privacy Policy). The Service is provided on a subscription basis with a credit system.

3. Account

• The Service is for business customers only. By creating an account you confirm that you use the Service in the course of your trade, business or profession, and not as a consumer
• You must be at least 18 years old to create an account
• You are responsible for maintaining the security of your account credentials
• You must provide accurate information when registering
• One person or legal entity may not maintain more than one free account

4. Subscriptions & billing

• Subscriptions are billed monthly or annually via Stripe, in advance
• A paid subscription renews automatically for the same period (a month or a year) until you cancel it. Checkout and the billing dashboard say so before you pay, and you can cancel at any time in the billing dashboard
• The credits included in a paid plan are added to your balance once per billing cycle, when your subscription payment succeeds (a scheduled monthly run does the same and never grants twice for the same cycle)
• The Free plan includes 100 credits, added once when you create your account. It has no monthly credit grant
• Unused credits carry over from month to month and do not expire (see section 6)
• You can change your plan or cancel your subscription via the billing dashboard. Stripe’s billing portal shows you, before you confirm, whether a change takes effect immediately or at the end of the current billing period
• When your subscription ends or is cancelled, your plan reverts to Free: you keep your remaining credits, the Free plan’s limits apply, and you receive no further monthly grant of credits
• Prices are in EUR and exclude VAT. VAT is added where it applies, and is shown at checkout. Smoothware OÜ is not VAT-registered, so for now no VAT is charged.

5. Refunds

We do not offer refunds for subscription periods already paid, except where required by applicable law. Because the Service is offered to business customers only, the statutory 14-day right of withdrawal for consumers does not apply. If you believe you were charged in error, contact info@smoothfunnels.ai within 14 days.

6. Credits

• Credits are consumed per AI action (website analysis, funnel generation, landing page generation and similar). The price list shows the minimum cost of each action
• Credits are deducted when an AI action starts, based on an estimate. When the action finishes, the amount is adjusted to the actual cost (never below the minimum shown on our pricing page), which can be a refund or a small additional charge
• If an AI action fails, the credits deducted for it are refunded to your balance automatically
• Credits do not expire, including when your subscription is cancelled or ends. Your balance stays on your account until you use it or your account is deleted
• Credits have no cash value and cannot be transferred between accounts or paid out
• Publishing a landing page to a connected website, including automatic publishing, is available on every plan

7. Acceptable use

You agree not to use the Service to:

• Generate content that is illegal, harmful, fraudulent, or misleading
• Violate the intellectual property rights of others
• Spam, scrape, or abuse the AI generation system
• Attempt to reverse-engineer, hack, or disrupt the platform
• Resell or sublicense access to the Service without written permission

8. Content ownership

You own the content you generate using Smoothfunnels. We claim no ownership over funnels, landing pages, or other output you create. By using the Service you grant us a limited licence to process your inputs to provide the Service.

9. AI-generated content

Content is generated by AI models. AI outputs may occasionally be inaccurate, incomplete, or unsuitable. You are responsible for reviewing all generated content before publishing or distributing it. Smoothfunnels makes no guarantees about the accuracy or suitability of AI-generated content.

10. Leads and data protection

When you use the Service to collect leads (people who fill in a form on your landing pages), you are the controller of that personal data and Smoothware is your processor. Our Data Processing Agreement applies to that processing and forms part of these Terms. You are responsible for having a lawful basis for the leads you collect, for informing the people concerned (for example through your own privacy policy, which you can link on each website) and for what you do with the data. How we handle our own customers’ data is described in our Privacy Policy.

11. Reporting illegal content

We host the landing pages you publish with us. Anyone, with or without an account, can tell us about content on a page we host that they consider illegal, using our report form (notice-and-action under art. 16 of the EU Digital Services Act). Our contact points and the way we handle reports are described on our Digital Services Act page.

We may remove content, disable access to it, or suspend an account when content breaches section 7 or the law. Where the law requires it, we tell the affected customer what we did and why, and how to object (art. 14 and 17 DSA).

12. Uptime & availability

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated where possible. We are not liable for losses resulting from downtime.

13. Limitation of liability

To the maximum extent permitted by law, Smoothware's total liability for any claim arising from use of the Service is limited to the amount you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

14. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may cancel your subscription at any time from the billing dashboard, and delete your account yourself in the dashboard (Account privacy). When an account is deleted, its data is removed from our live system immediately; copies in our database backups expire on the schedule described in the Privacy Policy (up to 2 years).

15. Governing law

These Terms are governed by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.

16. Changes

We may update these Terms. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.
